Terms of Service

Version of . If the language versions of this document differ, the English version prevails.

Seller

The service reconge.com is provided by a Georgian individual entrepreneur. The registered name, identification code, legal address and trade name are given in the seller details at the end of this page.

Questions about these Terms go to hello@reconge.com.

What the service does

reconge.com is an online service for reconciling a bank statement against an accounting ledger. The customer uploads exports of both as CSV or XLSX files. The service proposes matches with the reasons for each, suggested matches for review and a list of exceptions, and the customer's users review them.

The service is intended for organizations and entrepreneurs using it for their business activities.

Reconge provides no banking, payment, remittance or money transfer service. It holds no funds of customers, is not connected to bank accounts and writes nothing into accounting systems. It gives no accounting, tax or legal advice.

The customer checks every result before relying on it: the service does not guarantee that a proposed match is correct.

Accounts

Accounts are created by the operator of the service at the customer's request, or by a person who registers on app.reconge.com for demo access and confirms that they use the service professionally on behalf of an organization or as an individual entrepreneur. Registration creates one organization and makes that person its user.

Demo access is free and works only with synthetic files that Reconge provides; the user cannot upload a file to it. To register, the person accepts these Terms for demo access. That acceptance is not the organization's acceptance under the acceptance section: it confirms no authority to represent the organization and opens no processing of the organization's own files. Reconge may change or end demo access at any time.

The operator disables a user or the customer's organization at the customer's request. On the customer's request Reconge closes the organization, as the end of processing section of the Data Processing Agreement describes.

The customer is responsible for the use of its accounts. It keeps the passwords of its users confidential, tells the operator which users to add or disable, and tells the operator without delay of any use it did not authorize.

Acceptable use

The customer and its users:

The operator may disable an account that breaks these rules and tells the customer why.

Acceptance

The customer's organization accepts these Terms and the Data Processing Agreement in the service before it uploads any file under them. For an organization the operator created, the acceptance is given by a user whom Reconge has confirmed, from the public registry and that person's own confirmation, as a person who may represent the organization, or by a user whom such a person, or all the persons who may represent the organization only together, have named to Reconge. For an organization registered on app.reconge.com, the acceptance is given by its user, who confirms in the service that they may represent the organization as the individual entrepreneur, as its director or as a person it has authorized, and states that capacity; Reconge does not check this confirmation against the public registry. The user who accepts confirms that they are authorized to accept these Terms on behalf of the organization.

The service records the acceptance with the user who gave it, the time, and the version, language and SHA-256 hash of each document shown. It confirms the receipt on screen, and every user of the organization can open and save the accepted texts and the record.

Silence, the use of the service, a sign-in, the receipt of credentials, the acceptance of demo access and an action of the operator are not acceptance, and no acceptance applies to a time before it was given. Until the organization accepts, its users can use only the acceptance step of the service and, for an organization registered for demo access, its demo company.

The organization and Reconge agree that the acceptance recorded in the service by such a user, with the user, the time and the version, language and hash of each document, is the organization's electronic signature of these Terms and the Data Processing Agreement and has the same force between the organization and Reconge as a handwritten signature on a paper document (Article 3(8) of the Law of Georgia on Electronic Documents and Electronic Trust Services).

The publication of these Terms on this site is not acceptance by any customer.

Pilot

During the pilot the service is free of charge and needs no payment card.

No end date of the pilot has been set. If one is set, customers are told as the changes section describes.

Moving from the pilot to a paid subscription requires the customer to separately and explicitly accept the applicable paid terms, including the price. Reconge does not automatically move pilot organizations to a paid subscription.

Fees

Paid subscriptions are planned and cannot be bought yet. The planned subscription is a monthly subscription to Core.

Companies in the subscriptionPlanned price per month
Core with up to 2 companies79 GEL (VAT is not charged)

Prices are planned and cannot be bought yet.

Automation is an optional add-on in development. Its planned price is 19 GEL per month for each selected company (VAT is not charged), charged only for the companies for which the add-on is enabled. It is not available yet and cannot be bought.

Payments

Online payments are not currently available.

Reconge collects no payment card data.

Terms of payment enter these Terms only when payment becomes available, as the changes section describes.

Delivery of the service

The service is delivered online through the customer's account at app.reconge.com. There is no physical delivery and no delivery fee.

Pilot

On the pilot the operator creates the customer's organization and its users at the customer's request, or a person on the customer's side registers for demo access. Either way, the organization then accepts these Terms in the service as the acceptance section describes; its users can upload and process files from the moment the acceptance is recorded, with no further step of the operator.

Where the operator records who may accept for the organization, it does so after Reconge has received the organization's request and verified who may represent the organization; for an organization the operator creates, it creates the accounts at the same step. No fixed period applies to this step. For an organization registered on app.reconge.com, no step of the operator is needed: its user confirms in the service that they may accept.

Paid subscription

Once a paid Core subscription can be bought, its service period is one paid month, and access for a paid month opens automatically once Reconge's server has verified that the payment succeeded.

No customer pays for access at present, including access arranged individually.

Cancellation and refunds

This section applies to paid subscriptions once they can be bought. The pilot involves no charge.

Results and data

The customer can export the results of each completed run.

The customer can delete a reconciliation together with its files, runs and decisions, and can ask Reconge to close its organization, as the end of processing section of the Data Processing Agreement describes.

The data in the customer's files is processed under the Data Processing Agreement, which prevails over these Terms for that data.

Liability

The customer remains responsible for its accounting and for checking each result before relying on it. To the extent the law allows, Reconge is not liable for indirect loss or for loss caused by relying on a result the customer did not check.

Nothing in these Terms limits liability that the law of Georgia does not allow to be limited.

Changes to these Terms

Reconge may change these Terms. When a new version that changes the rights or duties of the parties takes effect, the service shows the users of the customer's organization a notice of it the next time they use the service. The notice leads to the text of the new version.

A new version that changes the rights or duties of the parties applies to the customer once its organization accepts it in the service; from the time the new version takes effect until that acceptance, the customer can start no new processing in the service. A version that changes no right or duty, such as a correction of wording or a new contact detail, applies without a new acceptance.

The version date at the top of this page shows the version in force.

Applicable law and disputes

These Terms are governed by the law of Georgia. The parties first try to settle a dispute through the contact address; a dispute they do not settle goes to the competent court of Georgia.
